In the event of any discrepancy, only the French version of
this EULA is legally binding (see section 14).

IMPORTANT – PLEASE READ CAREFULLY
This End User License Agreement ("EULA") constitutes a legally binding agreement between you ("the User", "the Customer" or "You") and DUKIWI SA, a company incorporated under Swiss law, hereinafter referred to as Sweever.

By accessing, activating or using the Sweever software, services or any feature, including through a license code, you acknowledge that you have read, understood and accepted the terms of this EULA without reservation.

If you do not accept these terms, you are not authorized to use the Software.

1. DEFINITIONS

1.1 Software: means the Sweever platform, including all of its modules, interfaces, features, APIs, updates, patches, content, as well as any associated documentation.
1.2 License: means the limited, revocable and conditional right to use the Software granted by Sweever in accordance with this EULA.
1.3 License Code: any code, key, token or activation mechanism provided by Sweever or an authorized Partner, allowing the activation of a License.
1.4 Partner / Reseller: any third-party entity contractually authorized by Sweever to distribute Licenses of the Software.
1.5 User: any natural or legal person using the Software.
1.6 Hardware Manufacturer / Integrator: any manufacturer, distributor or installer of point-of-sale hardware (terminals, tablets, kiosks, peripherals) that offers, pre-installs or configures access to the Software on its equipment.

2. GRANT OF LICENSE
============================================================
2.1 Subject to full compliance with this EULA and payment of any amounts due where applicable, Sweever grants the User a License that is:
2.1.1 non-exclusive
2.1.2 non-transferable
2.1.3 non-assignable
2.1.4 limited in time
2.1.5 strictly limited to internal professional use
2.2 The License is limited to the functional scope, quotas, duration and conditions defined at activation or in any applicable contract.
2.3 No intellectual property rights are transferred to the User.

3. ACTIVATION – LICENSE CODES
============================================================
3.1 Use of the Software may require the prior activation of a valid License Code.
3.2 Each License Code:
3.2.1 is personal and unique, unless otherwise indicated
3.2.2 may only be used in accordance with its intended purpose
3.2.3 confers no ownership rights over the Software
3.3 Sweever reserves the right to suspend, deactivate or revoke any License Code in the event of:
3.3.1 violation of this EULA
3.3.2 fraud or attempted circumvention
3.3.3 abusive or non-compliant use

4. USE RESTRICTIONS
============================================================
4.1 Unless prior written authorization is granted by Sweever, the User is strictly prohibited from:
4.1.1 copying, modifying, adapting, translating or creating derivative works of the Software
4.1.2 disassembling, decompiling or attempting to extract the source code
4.1.3 reselling, sublicensing, renting, distributing or making the Software available
4.1.4 circumventing or attempting to circumvent any technical, contractual or pricing limitation
4.1.5 sharing a License between several distinct legal entities
4.1.6 using the Software for illegal, fraudulent or unauthorized purposes
4.1.7 removing or modifying copyright notices or other proprietary notices
4.2 Any violation may result in the immediate termination of the License, without prejudice to Sweever's rights.

5. PARTNERS / RESELLERS
============================================================
5.1 Where the License is provided by a Partner, Sweever remains the exclusive owner of the Software.
5.2 The Partner acts in its own name vis-à-vis the end customer.
5.3 Sweever declines all responsibility regarding invoicing, contractual support or the Partner's commercial commitments towards the end customer.
5.4 Any redistribution of the Software without the express authorization of Sweever is strictly prohibited.
5.5 Hardware integration. Sweever authorizes any Hardware Manufacturer / Integrator to offer, pre-install or configure access to the Software on its equipment, without prior written agreement, subject to all of the following conditions:
5.5.1 the Software is used as is, without modification, and each end customer creates and holds its own Sweever account, subject to this EULA and the applicable pricing;
5.5.2 the Sweever brand and logo remain visible and unchanged in the Software interface: no white-label use, rebranding or concealment of the origin of the Software is permitted;
5.5.3 the Hardware Manufacturer / Integrator does not present the Software as its own product and grants no license in its own name;
5.5.4 the Hardware Manufacturer / Integrator may use the Sweever trademark only descriptively, to indicate the compatibility of its equipment ("Sweever compatible"); any other use of the logo remains subject to Article 6.3.
5.6 The Hardware Manufacturer / Integrator remains solely responsible for its hardware, installation, support and commercial commitments towards the end customer; Article 5.3 applies by analogy.
5.7 Sweever may withdraw this authorization from any Hardware Manufacturer / Integrator that fails to comply with the above conditions.

6. INTELLECTUAL PROPERTY AND TRADEMARKS

6.1 The Software and all intellectual property rights relating thereto remain the exclusive property of Sweever or its licensors.
6.2 Sweever is a registered trademark of DUKIWI SA.
6.3 Nothing in this EULA grants the User the right to use the Sweever trademark, logos, trade names or other distinctive signs, except with prior written authorization.

7. DATA AND PRIVACY

7.1 The User is solely responsible for the data processed through the Software and for its compliance with applicable laws, in particular the GDPR and Swiss legislation.
7.2 Sweever undertakes to protect your data in accordance with its Privacy Policy.

8. AVAILABILITY AND SUPPORT
============================================================
8.1 Sweever strives to ensure maximum availability of the Software, without guaranteeing continuous availability.
8.2 Technical support is provided according to the terms of your subscription or applicable contract.
8.3 Scheduled maintenance may cause temporary interruptions.

9. LIMITATION OF LIABILITY
============================================================
9.1 The Software is provided "as is".
9.2 Sweever does not warrant that the Software will be free of errors or interruptions.
9.3 Sweever shall not be held liable for indirect damages, loss of data, loss of revenue, loss of profits or commercial damages.
9.4 Sweever's total liability, all causes combined, is limited to the amount actually received by Sweever for the License concerned during the 12 months preceding the triggering event.

10. SUSPENSION – TERMINATION

10.1 Sweever may immediately suspend or terminate any License in the event of:
10.1.1 violation of this EULA
10.1.2 non-payment of amounts due
10.1.3 abusive, fraudulent or unlawful use
10.1.4 harm to the security, stability or integrity of the Software
10.2 Upon termination, the User must immediately cease all use of the Software.

11. MODIFICATION OF THE AGREEMENT

11.1 Sweever reserves the right to modify this EULA at any time.
11.2 Continued use of the Software after modification constitutes acceptance of the new terms.

12. GOVERNING LAW – JURISDICTION
============================================================
12.1 This EULA is governed exclusively by Swiss law.
12.2 Any dispute shall be subject to the exclusive jurisdiction of the courts of the canton of Fribourg, Switzerland.

13. LOCAL REGULATORY COMPLIANCE
============================================================
13.1 The Software is designed and offered primarily for the Swiss market and is governed by Swiss law.
13.2 It is the sole responsibility of the User to verify, prior to any use, that the use of the Software complies with the laws and regulations applicable in their jurisdiction, in particular with regard to tax, accounting and cash register system certification requirements (for example NF525 in France, TSE in Germany, RKSV in Austria).
13.3 Sweever does not warrant that the Software meets the legal requirements of jurisdictions other than Switzerland and declines all liability in the event of use that does not comply with local legislation.

14. LANGUAGE VERSIONS
============================================================
14.1 This EULA may be made available in several languages for convenience.
14.2 In the event of any discrepancy or contradiction between the versions, only the French version shall prevail.

15. FINAL PROVISIONS
============================================================
15.1 If any provision of this EULA is held to be void or unenforceable, the remaining provisions shall remain in full force and effect.
15.2 This EULA constitutes the entire agreement between the parties concerning the use of the Software and supersedes any prior agreement relating to the same subject matter.
